How are bonus and fractional shares treated for income tax purposes? I owned shares in Company A. The shares were purchased less than a year back. Company A declared a 1:4 bonus share issue. They announced that that any fractional share entitlement will be aggregated and sold in the market and the proceeds distributed to shareholders entitled to fractional shares. Please let me know if this is correct? 2. Since no STT was charged by the company for allotting these shares, will I be liable to pay Long Term Capital Gain tax if I sell them after 1 year? 3. How to account for selling shares in private company with 'earn-out' payments? I am a shareholder for a company going through an acquisition and am unsure how the sale of my shares should be accounted for to the IRS and my personal tax consequences. I originally bought the shares for $1 five years ago. I am selling the shares and will be paid cash amounting to $2/share upon purchase. However, as part of the purchase agreement for the next two years I will be given a $1/share at the end of each successive calendar year - for a total of $4/share. My understanding is I would have a capital gains of $1/share ($2 minus $1) this year. Each of the following years I would have a capital gain of $1/share ($1 minus $0). Is my logic correct here? Can you have a basis of $0 or is that going to start setting off (audit) flags. I would sincerely hope to not have to show a capital gain for the full amount as I perceive a non-trivial amount of risk to the future payments as it is predicated on company's positive cash flow. Any help would be appreciated.

How can a major corporation turn over stock shares to the state 32 years after purchase? My grandfather purchased 15 shares of Pepsi Cola stock at $8.58 per share in 1959. In 1991 the company turned the stocks over to the state at $13 per share. How can they do this and where are the dividends that should have been paid? One would expect a co like Pepsi to be worth more that $13 per share after 32 years! We still have the original certificate!

What happens if an odd reverse split is issued if you have a round number of shares? For example, if you have 100 shares and a 2:3 split is issued, which would translate to 66.67 shares . A more practical example would be a small lot of 5 shares undergoing a 1:3 split. 1.67 shares? What would happen here and in similar situations? Thanks for your help. Actually a 1:2 reverse split would be more practical, which would be a big deal with small odd lots of shares.
